Terms of service

BLACK SERIES TERMS OF SERVICE

Last Updated: July 15, 2026

OVERVIEW

Welcome to Black Series. These Terms of Service (“Terms”) govern your access to and use of blackseries.net, our Shopify-powered online store, customer accounts, quote and reservation tools, product pages, digital content, support resources, and other services made available by Black Series (collectively, the “Services”).

In these Terms, “Black Series,” “we,” “us,” and “our” refer to the operator of blackseries.net and the seller or service provider identified in the applicable quotation, preorder agreement, purchase agreement, invoice, warranty document, or other transaction document. “You” and “your” refer to the person or entity accessing or using the Services.

Black Series offers recreational vehicles, travel trailers, toy haulers, parts, accessories, replacement components, support services, and related products (“Products”). Certain Products, particularly vehicles and custom-configured units, require a separate quotation, preorder agreement, purchase agreement, financing agreement, delivery document, warranty document, or other transaction-specific contract.

By visiting, accessing, or using the Services, submitting a request for quotation, creating an account, placing an order, paying a reservation deposit, or otherwise interacting with us, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

IMPORTANT NOTICE FOR U.S. USERS: SECTION 26 CONTAINS AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS ACTION WAIVER. PLEASE READ THAT SECTION CAREFULLY.

SECTION 1 — ELIGIBILITY, ACCESS, AND ACCOUNTS

1.1 Eligibility

You must be at least eighteen (18) years old or the age of legal majority in your jurisdiction and have legal capacity to enter into a binding agreement. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity.

1.2 Accurate Information

You agree to provide accurate, current, and complete information, including your name, contact details, billing information, shipping or delivery address, vehicle information, and any information reasonably requested to prepare a quotation, process a reservation, arrange financing, deliver a Product, register a warranty, or provide service.

1.3 Account Security

You are responsible for safeguarding your login credentials and for activity conducted through your account. Notify us promptly at info@blackseries.net if you suspect unauthorized access or a security incident.

1.4 Non-Transferability

You may not sell, assign, transfer, sublicense, or share your account or reservation rights except where a written agreement expressly permits transfer.

SECTION 2 — PRODUCT INFORMATION, SPECIFICATIONS, AND AVAILABILITY

2.1 Product Descriptions

We make reasonable efforts to present Products accurately. Product photographs, renderings, videos, floor plans, specifications, dimensions, weights, capacities, colors, fabrics, finishes, appliances, software features, option packages, and other descriptions are provided for general informational purposes and may vary from the delivered Product.

2.2 Production Changes

Vehicle and component specifications may change because of model-year updates, engineering improvements, regulatory requirements, supplier substitutions, component availability, manufacturing changes, or other operational reasons.

Where a change is material to an accepted order, it will be addressed under the applicable quotation, preorder agreement, purchase agreement, or applicable law.

2.3 Weight and Capacity Information

Published dry weight, tongue weight, payload, sleeping capacity, water capacity, electrical capacity, and similar figures may be estimates or representative figures.

Actual values can vary by unit, installed options, fluids, cargo, batteries, accessories, production tolerances, and measurement method.

The certification label, vehicle identification documents, owner documentation, and final delivery records for the specific unit control over general website information.

2.4 Colors and Appearance

Product colors and finishes may appear differently depending on lighting, photography, screen settings, manufacturing batch, and material variation.

2.5 Availability

Inventory, configurations, components, promotions, model years, and production capacity are subject to availability.

We may limit, modify, suspend, or discontinue Products or options at any time, subject to accepted contracts and applicable law.

SECTION 3 — QUOTATIONS, RESERVATIONS, AND PREORDERS

3.1 Requests for Quotation

A request for quotation does not obligate you to purchase and does not obligate Black Series to sell.

A quotation is valid only for the period stated in the quotation and is subject to inventory, configuration, credit approval where applicable, taxes, fees, delivery availability, and execution of required transaction documents.

3.2 Reservation Deposits

Certain vehicles may be reserved through a deposit displayed on the Website, including a $500 reservation deposit where offered.

The reservation process, refundability, priority, allocation, configuration, cancellation, and conversion to a final purchase are governed by the Black Series Preorder Agreement available at:

https://blackseries.net/pages/preorder-agreement

The reservation is also governed by any written terms presented when the deposit is submitted.

3.3 Reservation Is Not a Completed Sale

Unless a written purchase agreement expressly states otherwise, a reservation or preorder is a request for future allocation and is not:

  • A completed retail sale;

  • A transfer of title;

  • A lease;

  • A guarantee of production;

  • A guarantee of inventory allocation; or

  • A guarantee of a specific delivery date.

3.4 Configuration

Vehicle options, colors, packages, accessories, and other selections remain subject to confirmation.

A configuration may become locked after the change period stated in the Preorder Agreement or purchase documentation.

Requested changes after that point may be declined or may result in repricing, additional charges, production changes, or delivery delay.

3.5 No Resale Reservations

Unless separately authorized in writing, reservations are intended for the purchasing customer’s own use and may not be placed for speculative resale, brokerage, or transfer for profit.

SECTION 4 — ORDERS AND ACCEPTANCE

4.1 Offer to Purchase

Submitting an order, signed quotation, deposit, purchase request, or payment is an offer to purchase.

Black Series may accept or reject the offer in accordance with applicable law.

4.2 Acceptance

An order is accepted only when Black Series provides written acceptance or executes the applicable purchase agreement.

An automated Shopify confirmation, payment authorization, reservation confirmation, or acknowledgment of receipt does not by itself constitute acceptance of a final vehicle sale.

4.3 Final Vehicle Purchase Agreement

The final sale of a vehicle may require a separate:

  • Purchase agreement;

  • Buyer’s order;

  • Sales contract;

  • Financing agreement;

  • Delivery acknowledgment;

  • Odometer disclosure;

  • Title documentation;

  • Warranty disclosure; or

  • Other legally required document.

Those documents control the vehicle transaction if they conflict with these general Website Terms.

4.4 Order Review

You are responsible for reviewing the following information before signing or submitting final approval:

  • Vehicle model;

  • Model year;

  • Floor plan;

  • Configuration;

  • Options;

  • Accessories;

  • Purchase price;

  • Delivery location;

  • Contact information; and

  • Other order details.

4.5 Fraud and Compliance Review

We may delay, decline, or cancel an order where reasonably necessary to verify:

  • Identity;

  • Payment authorization;

  • Export compliance;

  • Sanctions compliance;

  • Suspected fraud;

  • Unauthorized resale; or

  • Other legal or operational requirements.

SECTION 5 — PRICES, TAXES, FEES, AND PAYMENT

5.1 Pricing

Prices, discounts, incentives, and promotions may change without notice before an order is accepted.

The price applicable to an accepted order is the price stated in the controlling quotation or purchase agreement.

5.2 Excluded Charges

Unless expressly included in writing, displayed or quoted prices may exclude:

  • Sales tax;

  • Use tax;

  • Title fees;

  • Registration fees;

  • Licensing fees;

  • Documentation fees;

  • Destination charges;

  • Delivery charges;

  • Freight;

  • Customs duties;

  • Import charges;

  • Insurance;

  • Financing charges;

  • Bank fees;

  • Installation charges;

  • Inspection fees;

  • Storage fees; and

  • Other governmental or third-party charges.

5.3 Payment Information

You represent that you are authorized to use the payment method submitted and that all payment information is accurate.

Payment processing may be provided by Shopify or other third-party payment processors.

5.4 Payment Timing

Deposits, progress payments, balances, and final payment are due as stated in the applicable transaction documents.

Failure to make payment when due may delay:

  • Configuration;

  • Production;

  • Shipment;

  • Delivery;

  • Title processing; or

  • Release of the Product.

5.5 Pricing Errors

If a material pricing or calculation error is discovered before completion of the transaction, we may correct the error and provide you with the option to:

  • Proceed at the corrected price; or

  • Cancel the affected transaction.

This provision is subject to applicable law.

SECTION 6 — FINANCING

6.1 Third-Party Financing

Financing may be offered or arranged through independent lenders, dealers, brokers, or finance providers.

Financing approval, annual percentage rate, loan term, down payment, payment amount, fees, and other credit terms are determined by the applicable finance provider and may change.

6.2 No Guarantee of Approval

Submission of a credit application does not guarantee:

  • Financing approval;

  • A particular interest rate;

  • A particular monthly payment;

  • A particular loan term; or

  • Availability of an advertised financing offer.

6.3 Separate Agreements

Financing is governed by the lender’s disclosures and agreements.

Black Series is not a lender unless expressly identified as such in the applicable finance documents.

6.4 Privacy

Information submitted for financing may be shared with prospective finance providers as described in the Privacy Policy and applicable financing disclosures.

SECTION 7 — DELIVERY, PICKUP, TITLE, REGISTRATION, AND RISK OF LOSS

7.1 Delivery Estimates

Production, shipment, and delivery dates are estimates unless a written agreement expressly guarantees a specific date.

Delays may result from:

  • Manufacturing conditions;

  • Quality inspections;

  • Component shortages;

  • Supplier delays;

  • Weather;

  • Transportation conditions;

  • Customs processing;

  • Governmental processing;

  • Labor disruption;

  • Force majeure events; or

  • Other circumstances outside our reasonable control.

7.2 Delivery Methods

Delivery may occur through:

  • Customer pickup;

  • Black Series-arranged transportation;

  • A third-party carrier;

  • An authorized dealer; or

  • Another delivery method stated in the purchase agreement.

7.3 Title and Risk

Title to and risk of loss for a vehicle transfer at the time and in the manner stated in the final purchase agreement, delivery agreement, and applicable law.

Merely transferring a vehicle or part to a carrier does not override mandatory consumer rights.

7.4 Registration and Licensing

Responsibility for the following matters will be allocated in the purchase agreement or determined by applicable law:

  • Title;

  • Registration;

  • License plates;

  • Taxes;

  • Inspections;

  • Permits;

  • Insurance; and

  • Local compliance.

You are responsible for providing timely and accurate documentation needed for these processes.

7.5 Delivery Location and Access

You are responsible for ensuring that the delivery location is lawful, accessible, and suitable for the delivery vehicle and Product.

This includes ensuring adequate:

  • Road access;

  • Clearance;

  • Turning radius;

  • Surface condition;

  • Gate access; and

  • Permission for the carrier to enter.

7.6 Storage and Failed Delivery

If you fail to:

  • Complete required documents;

  • Make required payment;

  • Accept delivery;

  • Attend a scheduled pickup; or

  • Provide reasonable delivery access,

storage, redelivery, transportation, rescheduling, or related charges may apply if disclosed in the applicable transaction documents and permitted by law.

SECTION 8 — DELIVERY INSPECTION AND ACCEPTANCE

8.1 Inspection

You should inspect the Product at delivery or pickup and identify visible:

  • Transit damage;

  • Missing items;

  • Incorrect accessories;

  • Material configuration discrepancies; or

  • Other apparent issues.

Where practicable, visible issues should be recorded on the delivery documentation before signing.

8.2 Reporting Issues

Visible shipping damage or shortages should be reported promptly using the contact information in Section 31.

Failure to identify visible damage at delivery may affect a carrier claim but does not waive rights that cannot legally be waived.

8.3 Orientation and Documentation

Vehicle delivery may include:

  • Owner orientation;

  • Delivery inspection checklist;

  • Owner manuals;

  • Component manuals;

  • Warranty information;

  • Maintenance information; and

  • Safety instructions.

You are responsible for reviewing and following the documentation supplied with the Product.

8.4 No Waiver of Warranty Rights

Acceptance of delivery does not waive:

  • Valid warranty claims;

  • Latent defect claims;

  • Safety recall remedies; or

  • Other non-waivable statutory rights.

SECTION 9 — CANCELLATIONS, RETURNS, EXCHANGES, AND REFUNDS

9.1 Vehicle Reservations

Cancellation and refund rights for reservation deposits are governed by the Preorder Agreement and the terms presented at the time of reservation.

9.2 Final Vehicle Orders

After a final purchase agreement is signed, cancellation, modification, refund, exchange, restocking, transportation, and other rights are governed by that agreement and applicable law.

Custom-configured, specially ordered, titled, registered, used, or delivered vehicles may not be returnable except where the written agreement or applicable law provides otherwise.

9.3 Parts and Accessories

Returns of parts, accessories, and merchandise are governed by the return terms presented:

  • On the applicable product page;

  • At checkout;

  • In the order confirmation; or

  • In a separate written return policy.

Returned items may be required to be:

  • Unused;

  • Uninstalled;

  • Undamaged;

  • Complete; and

  • In their original packaging.

9.4 Non-Returnable Items

The following items may be non-returnable where disclosed and permitted by law:

  • Electrical components;

  • Software-enabled components;

  • Special-order parts;

  • Installed items;

  • Opened safety items;

  • Hazardous materials;

  • Clearance items;

  • Customized Products; and

  • Items damaged after delivery.

9.5 Refund Processing

Approved refunds are generally issued to the original payment method.

Processing time may depend on:

  • Shopify;

  • The payment processor;

  • The issuing bank;

  • Product inspection;

  • Vehicle condition;

  • Title documentation; and

  • Other required transaction checks.

9.6 Mandatory Rights

Nothing in this Section limits cancellation, rejection, refund, replacement, repair, or other remedies that cannot legally be excluded.

SECTION 10 — WARRANTIES, SERVICE, AND RECALLS

10.1 Separate Limited Warranty

Vehicle and Product warranties are governed by:

  • The applicable written limited warranty;

  • The purchase agreement;

  • The component manufacturer warranty; and

  • Applicable law.

Current Black Series warranty information is available at:

https://blackseries.net/pages/warranty

10.2 Warranty Registration

You may be required to register the vehicle and provide:

  • The vehicle identification number;

  • Purchase date;

  • Dealer or seller information;

  • Owner information; and

  • Other reasonable information.

This information may be used to facilitate warranty support, ownership records, and recall notifications.

Failure to register does not eliminate rights that cannot legally depend on registration.

10.3 Exclusions

Warranty exclusions, maintenance requirements, claim procedures, coverage periods, transferability, and remedies are stated in the applicable written warranty.

Normal wear, misuse, overloading, unauthorized modifications, collision, environmental damage, improper maintenance, and damage caused by incompatible towing equipment may be excluded where stated and lawful.

10.4 Third-Party Components

Appliances, batteries, tires, electronics, solar equipment, air conditioners, hitches, and other third-party components may carry separate manufacturer warranties.

Black Series may assist with coordination but does not expand a third-party warranty unless expressly stated in writing.

10.5 Service Authorization

Except in an emergency or where prohibited by law, you should obtain authorization before arranging repairs for which reimbursement is requested.

Unauthorized work may not be reimbursable under the applicable warranty.

10.6 Safety Recalls

Safety recall and service campaign remedies are governed by applicable law and the applicable recall notice.

You should:

  • Keep ownership information current;

  • Keep contact information current;

  • Review recall communications; and

  • Respond promptly to recall instructions.

10.7 Non-Warranty Service

Non-warranty diagnosis, labor, transportation, storage, parts, and repair charges may apply.

Such work should be approved through a separate estimate or service authorization.

SECTION 11 — SAFE USE, TOWING, LOADING, AND MODIFICATIONS

11.1 Owner Responsibility

Recreational vehicles and trailers require proper:

  • Towing;

  • Loading;

  • Operation.

You are responsible for using the Product in accordance with:

  • Certification labels;

  • Owner manuals;

  • Safety warnings;

  • Applicable law; and

  • The limits of the specific tow vehicle and towing equipment.

11.2 Tow Vehicle Compatibility

Website guidance, sales discussions, calculators, FAQs, and general recommendations are informational only.

Final towing compatibility depends on factors including:

  • The tow vehicle’s tow rating;

  • Payload rating;

  • Gross vehicle weight rating;

  • Gross combined weight rating;

  • Hitch and receiver ratings;

  • Tongue weight;

  • Axle ratings;

  • Brake controller;

  • Tire ratings;

  • Cargo;

  • Passengers;

  • Fuel and fluids;

  • Installed accessories; and

  • Applicable law.

You should verify towing compatibility with the tow vehicle manufacturer and appropriately qualified professionals.

11.3 Loading

Do not exceed:

  • Gross vehicle weight rating;

  • Gross axle weight ratings;

  • Tire ratings;

  • Hitch ratings;

  • Cargo capacity;

  • Tongue weight limits; or

  • Other limits shown on certification labels or in owner documentation.

11.4 Off-Road Use

“Off-road,” “off-grid,” “overland,” “adventure,” or similar descriptions do not mean that every terrain, road, crossing, slope, weather condition, or obstacle is safe or suitable.

The operator must assess:

  • Legal access;

  • Road and terrain conditions;

  • Ground clearance;

  • Traction;

  • Water depth;

  • Weather;

  • Recovery capability;

  • Tow vehicle capability;

  • Trailer capability; and

  • Personal driving experience.

11.5 Modifications

Unauthorized structural, suspension, electrical, plumbing, gas, braking, software, chassis, or safety-system modifications can create safety risks and may affect warranty coverage.

Use qualified technicians and comply with applicable standards and laws.

11.6 Maintenance

You are responsible for required inspections and maintenance, including:

  • Tires;

  • Tire pressure;

  • Wheel fasteners;

  • Brakes;

  • Cosmetic differences; or

  • Different warranty coverage.

Vehicle-specific disclosures and the applicable purchase agreement control.

You should review:

  • Inspection reports;

  • Repair history where available;

  • Known-condition disclosures; and

  • Included and excluded equipment.

We may not possess complete information regarding prior use, maintenance, repairs, modifications, storage conditions, or incidents unless specifically stated in writing.

SECTION 13 — AUTHORIZED DEALERS, SERVICE PROVIDERS, AND OTHER THIRD PARTIES

13.1 Independent Businesses

Authorized dealers, transport companies, repair facilities, lenders, insurance providers, installers, and component manufacturers may be independent businesses.

Unless expressly stated otherwise, they are not agents authorized to:

  • Alter these Terms;

  • Bind Black Series;

  • Accept liability on behalf of Black Series; or

  • Make warranties on behalf of Black Series.

13.2 Dealer Transactions

A vehicle purchased from an authorized dealer may be sold under the dealer’s own:

  • Sales contract;

  • Pricing;

  • Financing terms;

  • Delivery terms;

  • Trade-in terms;

  • Return terms; and

  • Dispute provisions.

The dealer is responsible for obligations it independently undertakes.

13.3 No Unauthorized Representations

Oral statements or promises are not binding unless included in an authorized written agreement signed by the appropriate party.

SECTION 14 — SOFTWARE, CONNECTED FEATURES, AND UPDATES

14.1 Software License

15.4 Reservation of Rights

No right or license is granted except as expressly stated in these Terms.

SECTION 16 — REVIEWS, FEEDBACK, PHOTOS, AND USER CONTENT

16.1 License

If you submit reviews, testimonials, photographs, videos, ideas, suggestions, comments, or other content (“User Content”), you grant Black Series a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

Those services may be governed by separate third-party terms and privacy notices.

17.4 No Control

We do not control and are not responsible for third-party systems, availability, content, security, or practices, except to the extent applicable law imposes responsibility on us.

SECTION 18 — PRIVACY

Personal information collected through the Services is handled in accordance with the Black Series Privacy Policy available at:

https://blackseries.net/policies/privacy-policy

Because the Services are hosted by Shopify and use third-party providers, information may be processed by Shopify and other providers in the United States or other countries, as described in the Privacy Policy.

If these Terms conflict with the Privacy Policy regarding personal information, the Privacy Policy controls.

SECTION 19 — PROHIBITED USES

You may not use the Services to:

(a) violate any law, regulation, sanction, export control, or third-party right;

(b) engage in fraud, identity theft, unauthorized resale, false reservations, or payment abuse;

  • Circumvent access restrictions.

20.3 Limitations

We may restrict or block automated access.

  • That person has validly authorized the Agent; and

  • Applicable law permits the action.

20.4 No Interference

Agents must comply with robots directives, rate limits, technical controls, and written instructions applicable to automated access.

We may correct information and update the Services without notice.

If an error materially affects an accepted transaction, the matter will be handled under the controlling purchase documents and applicable law.

General website content does not replace:

  • The certification label;

  • Owner manual;

  • Recall notice;

  • Signed quotation;

  • Purchase agreement;

  • Warranty;

  • Financing disclosure; or

  • Vehicle-specific delivery documentation.

SECTION 22 — TERMINATION AND SUSPENSION

We may suspend or terminate access to the Services where reasonably necessary because of:

  • Breach of these Terms;

  • Fraud;

  • Unlawful conduct;

  • Security risk;

  • System discontinuation; or

  • Misuse.

You remain responsible for obligations incurred before termination.

Closing an online account does not automatically cancel:

  • A reservation;

  • Vehicle order;

  • Financing arrangement;

  • Service appointment;

  • Warranty claim; or

  • Payment obligation.

Those matters must be handled under their applicable agreements.

Sections concerning intellectual property, User Content, disclaimers, liability, indemnification, disputes, governing law, and any provisions that by their nature should survive will continue after termination.

SECTION 23 — DISCLAIMER OF WARRANTIES

23.1 Website and Digital Services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, ONLINE STORE, ACCOUNT FEATURES, DIGITAL CONTENT, QUOTE TOOLS, AND OTHER DIGITAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PRODUCT WARRANTIES ARE PROVIDED ONLY AS STATED IN:

  • THE APPLICABLE WRITTEN LIMITED WARRANTY;

  • THE PURCHASE AGREEMENT;

  • THE COMPONENT MANUFACTURER WARRANTY; OR

  • ANOTHER AUTHORIZED WRITTEN DOCUMENT.

23.3 Non-Waivable Rights

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY:

  • WARRANTY;

  • CONSUMER GUARANTEE;

  • RECALL REMEDY;

  • PRODUCT-LIABILITY RIGHT; OR

  • OTHER RIGHT

THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

23.4 General Information

Website articles, FAQs, calculators, guides, and support materials provide general information and do not constitute:

  • Legal advice;

  • Tax advice;

  • Insurance advice;

  • Engineering advice;

  • Towing certification; or

  • Other professional advice

for a particular customer, vehicle, or tow-vehicle combination.

SECTION 24 — LIMITATION OF LIABILITY

24.1 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK SERIES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF THE WEBSITE OR DIGITAL SERVICES.

THIS INCLUDES:

  • LOST DATA;

  • LOST REVENUE;

  • LOST BUSINESS OPPORTUNITIES; OR

  • BUSINESS INTERRUPTION.

For claims arising solely from the Website or digital Services, aggregate liability will not exceed the greater of:

(a) the amount you paid Black Series specifically for the affected digital Service during the twelve months before the claim; or

(b) US $1,000.

This limitation does not apply to claims involving:

  • Personal injury;

  • Death;

  • Physical property damage;

  • A purchased vehicle;

  • A written warranty;

  • A safety recall;

  • Fraud;

  • Willful misconduct; or

  • Rights that cannot legally be limited.

24.3 Product and Transaction Claims

Liability relating to a purchased Product, deposit, delivery, warranty, repair, financing transaction, personal injury, property damage, or vehicle sale is governed by the applicable transaction documents and law.

Nothing in this Section expands liability beyond what applicable law requires.

24.4 Jurisdictional Limitations

Some jurisdictions do not permit certain exclusions or limitations.

Where an exclusion or limitation is prohibited, it applies only to the maximum extent permitted by applicable law.

SECTION 25 — INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Black Series and its affiliates, officers, directors, employees, agents, contractors, successors, and service providers from third-party claims, losses, liabilities, and reasonable legal costs arising from:

(a) your unlawful or unauthorized use of the Services;

(b) your material breach of these Terms;

(c) User Content submitted by you;

(d) your infringement of a third party’s rights; or

(e) fraud, malicious conduct, or unauthorized commercial exploitation by you.

This obligation does not require you to indemnify a party for that party’s own negligence, product defect, breach of warranty, violation of law, or misconduct to the extent such indemnification is prohibited.

SECTION 26 — DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

26.1 Informal Resolution

Before filing arbitration or litigation, the claimant must send a written notice describing:

  • The dispute;

  • The relevant transaction;

  • The requested relief; and

  • The claimant’s contact information.

The notice must be sent to accounting@blackseries.net and by mail to the address stated in Section 31.

The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of the notice.

26.2 Binding Individual Arbitration

Except for matters listed in Section 26.3 and to the extent permitted by law, disputes arising out of or relating to:

  • These Terms;

  • The Services;

  • A reservation;

  • A preorder;

  • A Product; or

  • A transaction with Black Series

will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”).

Consumer claims will be governed by the applicable AAA Consumer Arbitration Rules.

Business claims will be governed by the applicable AAA Commercial Arbitration Rules.

26.3 Exceptions

Either party may:

(a) bring an eligible individual claim in small claims court;

(b) seek temporary or injunctive relief in court to prevent unauthorized access, misuse, or intellectual-property infringement; or

(c) pursue a remedy that applicable law does not permit to be arbitrated.

26.4 Individual Proceedings Only

ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY MAY BRING OR PARTICIPATE IN A:

  • CLASS ACTION;

  • COLLECTIVE ACTION;

  • CONSOLIDATED ACTION;

  • REPRESENTATIVE ACTION; OR

  • PRIVATE ATTORNEY GENERAL ACTION

IN ARBITRATION.

26.5 Procedure and Location

Arbitration may be conducted by:

  • Written documents;

  • Telephone;

  • Video conference; or

  • In-person hearing,

as permitted by the applicable AAA rules.

Consumer arbitration will be held at a reasonably convenient location or remotely unless the parties agree otherwise.

26.6 Fees

Filing fees and arbitrator compensation will be allocated under the applicable AAA rules and applicable law.

Black Series will pay amounts required of a business under the AAA Consumer Arbitration Rules.

26.7 Arbitration Opt-Out

A U.S. consumer may opt out of Sections 26.2 and 26.4 by sending a written notice within thirty (30) days after first accepting these Terms.

The notice must include:

  • The consumer’s full name;

  • Mailing address;

  • Email address;

  • Sufficient information to identify the relevant account or transaction; and

  • A clear statement that the consumer opts out of arbitration.

Send the notice to accounting@blackseries.net with the subject line:

Arbitration Opt-Out

The notice must also be sent by mail to the address stated in Section 31.

Opting out will not affect the remaining provisions of these Terms.

26.8 Court Waiver

WHERE ARBITRATION APPLIES, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL.

26.9 Severability

If the class-action waiver is found unenforceable for a particular claim or remedy, that claim or remedy will proceed in court.

The remaining arbitrable claims will remain in arbitration to the extent permitted by law.

SECTION 27 — GOVERNING LAW AND COURT VENUE

Except where mandatory law requires otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

For a dispute not subject to arbitration, the parties consent to the state and federal courts located in Los Angeles County, California, unless applicable law requires another venue.

Nothing in this Section prevents a consumer from relying on mandatory protections of the consumer’s home jurisdiction.

SECTION 28 — JURISDICTION-SPECIFIC CONSUMER RIGHTS

28.1 United States

State and federal consumer-protection, warranty, product-safety, recall, vehicle-sale, and financing laws may provide rights that vary by state.

These Terms do not waive rights that cannot lawfully be waived.

28.2 Canada

If you are a Canadian consumer, applicable federal and provincial consumer-protection and privacy laws apply.

Arbitration, class-action waivers, warranty disclaimers, limitations of liability, and choice-of-law provisions apply only to the extent permitted in your province or territory.

28.3 Australia

If you are an Australian consumer, goods and services may come with consumer guarantees under the Australian Consumer Law that cannot be excluded.

Nothing in these Terms excludes, restricts, or modifies those guarantees or remedies where doing so would be unlawful.

28.4 Other Jurisdictions

Mandatory laws of the jurisdiction where a Product is sold or delivered may override conflicting provisions of these Terms.

SECTION 29 — GENERAL PROVISIONS

29.1 Entire Agreement

These Terms, the Privacy Policy, and applicable supplemental agreements constitute the agreement governing use of the Services.

A vehicle transaction is also governed by its:

  • Quotation;

  • Preorder Agreement;

  • Purchase agreement;

  • Financing agreement;

  • Delivery documents;

  • Warranty; and

  • Legally required disclosures.

29.2 Order of Precedence

For a specific transaction, the more specific signed or accepted transaction document controls over these general Terms to the extent of a conflict.

Mandatory law controls over all conflicting contract terms.

29.3 Assignment

You may not assign these Terms or transaction rights without prior written consent, except where applicable law permits.

Black Series may assign these Terms in connection with:

  • A merger;

  • Acquisition;

  • Reorganization;

  • Financing;

  • Sale of assets; or

  • Transfer of the relevant business,

subject to applicable law.

29.4 Force Majeure

Neither party will be liable for delay or failure caused by events beyond reasonable control, including:

  • Natural disaster;

  • Wildfire;

  • Flood;

  • Severe weather;

  • Epidemic or pandemic;

  • War;

  • Civil disorder;

  • Government action;

  • Labor disruption;

  • Cyber incident;

  • Utility failure;

  • Supplier shortage;

  • Component shortage;

  • Transportation disruption;

  • Port congestion; or

  • Carrier delay.

This provision does not excuse payment already due or limit non-waivable cancellation or refund rights.

29.5 Severability

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue.

29.6 No Waiver

Failure to enforce a provision is not a waiver of the right to enforce it later.

29.7 Electronic Communications

You consent to receive transaction documents, notices, disclosures, and communications electronically where permitted by law.

You are responsible for keeping your contact information current.

29.8 Headings

Headings are for convenience and do not alter interpretation.

29.9 Language

If these Terms are translated, the English version controls to the extent permitted by law, unless a mandatory local-language rule requires otherwise.

SECTION 30 — CHANGES TO THESE TERMS

We may update these Terms to reflect changes in:

  • The Services;

  • Products;

  • Business practices;

  • Shopify features;

  • Applicable laws; or

  • Regulatory requirements.

The updated version will be posted on the Website with a revised “Last Updated” date.

Material changes will apply prospectively unless applicable law permits otherwise.

Changes to these general Website Terms do not retroactively alter a signed vehicle purchase agreement, financing agreement, or written warranty unless that document or applicable law permits the change.
