Black Series Preorder Agreement

Effective Date: August 25, 2026

Please review this preorder agreement carefully before placing a reservation, submitting a deposit, or accepting an invitation to complete your order. Applies to the United States, Canada, and Australia.

This Preorder Agreement (the “Agreement”) is entered into by and between Black Series RV Inc. (“Black Series”, “we”, “us”, or “our”) and the individual or entity identified in the preorder registration process (“You” or “Preorder Holder”).

This Agreement governs your preorder reservation for a Black Series trailer, RV, or related preorder-eligible product (the “Trailer”). By clicking a reservation or preorder button and submitting your deposit, you agree to be legally bound by this Agreement, our Terms of Service, and our Privacy Policy.

Important Notice: This Agreement includes an arbitration provision and class action waiver in Section 14. That section affects how disputes may be resolved.

1. No Obligations and Nature of Preorder

1.1 Reservation Only

Your preorder is a reservation request and not a completed retail sale, lease, or final purchase contract. It is intended to secure a place in a future allocation or production sequence, subject to this Agreement.

1.2 No Guaranteed Supply

Black Series is not obligated to deliver a Trailer to every preorder holder. We may decline, cap, suspend, or cancel preorder reservations where necessary for allocation control, regional limits, compliance requirements, or other operational reasons. If we decline a preorder, the deposit will be refunded.

1.3 Future Purchase Agreement

If your preorder progresses to a final purchase stage, you will be required to enter into a separate final sales, purchase, or delivery agreement closer to fulfillment. Depending on your location, that agreement may be with Black Series directly or with an authorized distributor or delivery partner. Once signed, the final agreement replaces this preorder agreement for the completed purchase.

1.4 Non-Binding Early Specifications

Features, renderings, trims, configurations, design descriptions, technical details, or performance references shown during the preorder stage are informational only and may change before final contracting.

2. Eligibility and Registration

2.1 Age and Territory

You represent that you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction, and that you reside in a region where Black Series accepts preorder reservations, including the United States, Canada, or Australia unless otherwise stated.

2.2 Canada and Australia Annexes

If you reside in Canada or Australia, the annex provisions in this Agreement may apply in addition to the main body. Where mandatory local law requires a different result, the applicable annex controls to that extent.

2.3 Entity Reservations

If you reserve on behalf of a company or other organization, you represent that you have authority to bind that entity, and references to “you” include that entity where applicable.

2.4 Sanctions and Export Compliance

You represent that you are not prohibited from transacting under applicable sanctions, embargoes, export controls, or restricted-party rules, and you agree not to export or transfer a Trailer in violation of applicable law.

2.5 Accurate Account Information

You are responsible for keeping your email address, phone number, mailing address, and account details current. Black Series is not responsible for missed notifications caused by outdated or inaccurate account information.

3. Preorder Process and Configuration

3.1 Deposit Requirement

To validate a preorder, you must submit the preorder deposit shown on the website at the time of reservation (the “Preorder Deposit”).

  • the Preorder Deposit is fully refundable at any time before delivery, on request and without penalty;
  • the deposit is not held in trust or escrow unless applicable law requires otherwise;
  • the deposit may be handled as part of ordinary business funds; and
  • the deposit will not earn interest for your benefit unless applicable law requires otherwise.

3.2 Payment Processing

Deposits may be processed by third-party payment providers. Black Series may not directly store full payment-card details. Your transaction may also be subject to the terms and privacy policy of the payment provider.

3.3 Configuration Stage

When your reservation tier becomes eligible, you may be invited to configure your Trailer, including selections such as trim, color, optional equipment, accessories, or other specifications.

  • Subject to change: specifications, design details, materials, estimated performance, or option availability may change before production.
  • Grace period: after submitting a configuration, you may request changes during a limited grace period, which we currently expect to be seven (7) calendar days unless a different window is disclosed.
  • Locked configuration: after the grace period, your configuration may be locked for sourcing and production planning. Later changes may be denied or may cause delays, repricing, or administrative charges.

4. Priority and Allocation

4.1 Queue Management

Black Series may try to allocate units broadly in preorder sequence, but actual priority may depend on additional factors, including manufacturing readiness, geographic delivery capacity, component supply, regulatory requirements, and selected options.

4.2 Deferrals

If you are invited to proceed and choose to delay, you may lose your then-current priority position.

4.3 Failure to Respond

When your reservation becomes eligible to move forward, we may send an order invitation to the email on file. Unless otherwise stated in the notice, you may be required to act within fourteen (14) calendar days. If you do not respond or complete the next required step, Black Series may skip, defer, reprioritize, or cancel your reservation and refund your deposit.

5. Pricing, Taxes and Fees

5.1 Published Pricing

Starting MSRP for each model, edition pricing, and our flat delivery charge are published on our pricing page and are the prices we quote. Your written quote confirms the exact price for your configuration. Prices are subject to change before you receive a written quote; once you approve a written quote, that price applies to your order.

5.2 Excluded Charges

Unless expressly stated otherwise, quoted pricing does not include sales tax, title fees, registration fees, licensing fees, insurance, or financing costs. These are set by and paid to your state or other governmental authority. Delivery is charged at the flat rate published on our pricing page. We do not charge documentation, preparation, or destination fees.

6. Estimated Delivery

6.1 Estimated Timing Only

Any delivery or shipment timing communicated during the preorder phase is an estimate and not a guarantee. Actual timing may depend on manufacturing scale-up, approvals, parts availability, logistics conditions, and regional constraints.

6.2 Delay Notice

If Black Series reasonably expects a material delay, we may send an updated estimate or notice through email, your account, or another reasonable communication method.

6.3 Extended Delay Refund Right

If shipment is delayed by more than thirty (30) days beyond the original estimated shipment date and you do not agree to continue waiting, you may cancel the preorder and receive a refund of the Preorder Deposit.

7. Cancellation and Refunds

7.1 Cancellation by You

You may cancel your preorder at any time before delivery by submitting a cancellation request through your account, where available, or by emailing info@blackseries.net. Your Preorder Deposit will be refunded in full. Refunds are generally returned to the original payment method and may take up to ten (10) business days to begin processing, subject to banking timelines.

7.2 Cancellation by Black Series

Black Series may cancel a preorder for reasons including:

  • discontinuation of the reserved model or relevant option package;
  • your breach of this Agreement, the Terms of Service, or another binding agreement;
  • suspected resale, brokerage, transfer, or bad-faith reservation activity; or
  • force majeure or similar events beyond reasonable operational control.

Where cancellation occurs under this section, the Preorder Deposit will be refunded.

8. No Resellers and Non-Transferability

8.1 End-User Reservation

Preorders are intended for end users or internal business use, not for flipping reservations, speculative trading, brokerage, rental fleet placement without disclosure, or resale arbitrage.

8.2 Commercial Distribution

If you intend to acquire units for resale or distribution, that must be addressed through a separately authorized channel and may be subject to different terms, pricing, warranty treatment, or dealer/distributor documentation.

8.3 Bad-Faith Reservations

Black Series may cancel any preorder that we reasonably believe was made in bad faith, including where the intent appears to be profit-based transfer of the reservation itself.

8.4 Non-Transferability of the Reservation

Your preorder and queue position are personal to you and may not be assigned, transferred, sold, or otherwise conveyed to a third party without our prior written consent. This restriction applies to the reservation only. It does not affect the Black Series product warranty, which transfers with the trailer — see our warranty page.

8.5 Enforcement

If we determine that you attempted to broker, resell, or transfer a reservation for profit or contrary to this Agreement, we may cancel the preorder and restrict future reservation eligibility.

9. Privacy and Data Protection

9.1 Separate Privacy Policy

Your use of the preorder process, account, and related connected services is subject to our separate Privacy Policy.

9.2 Policy Priority

If there is a conflict between this Agreement and the Privacy Policy regarding personal information handling, the Privacy Policy will govern that subject.

9.3 Cross-Jurisdiction Compliance

Our privacy practices are intended to account for applicable U.S., Canadian, and Australian privacy requirements, including rights and obligations that may apply based on where the preorder holder resides.

9.4 International Processing

By using the preorder system, you acknowledge that data may be processed in countries that may have privacy standards different from those in your place of residence.

10. Indemnification

10.1 Covered Claims

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Black Series and its affiliates, officers, directors, employees, agents, successors, and assigns from claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your breach of this Agreement;
  • your violation of law, including export-control or sanctions rules;
  • your violation of a third party’s rights; or
  • your misuse of the preorder system, account, payment method, or related services.

10.2 Control of Defense

Black Series may assume control of the defense of an indemnified matter at your expense, and you agree to cooperate and not settle such a matter without prior written consent where that consent is reasonably required.

11. Disclaimer of Warranties

11.1 Preorder Services Only

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PREORDER WEBSITE, CONFIGURATION TOOLS, ACCOUNT DASHBOARD, RESERVATION WORKFLOW, AND RELATED DIGITAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

11.2 Hardware Warranty Exception

ANY WARRANTY REGARDING THE PHYSICAL TRAILER ITSELF IS GOVERNED BY THE SEPARATE LIMITED WARRANTY, FINAL SALES AGREEMENT, OR ANOTHER WRITTEN WARRANTY DOCUMENT PROVIDED AT THE APPROPRIATE STAGE. THIS AGREEMENT DOES NOT CREATE A SEPARATE PRODUCT WARRANTY.

11.3 No Performance Guarantee

EXCEPT AS EXPRESSLY STATED IN A SEPARATE WRITTEN WARRANTY OR FINAL PURCHASE AGREEMENT, BLACK SERIES DOES NOT GUARANTEE THAT PREORDER SYSTEMS WILL BE UNINTERRUPTED, ERROR-FREE, COMPATIBLE WITH ALL DEVICES, OR THAT PRELIMINARY SPECIFICATIONS WILL REMAIN UNCHANGED.

11.4 Security Disclaimer

BLACK SERIES DOES NOT GUARANTEE THAT PREORDER SERVICES, EMAILS, OR ASSOCIATED INFRASTRUCTURE WILL ALWAYS BE FREE FROM MALWARE, MALICIOUS CODE, OUTAGES, OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

12.1 Indirect Damages Excluded

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK SERIES AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

12.2 Monetary Cap

EXCEPT WHERE LAW PROHIBITS SUCH A LIMITATION, TOTAL CUMULATIVE LIABILITY ARISING FROM THIS AGREEMENT OR THE PREORDER SERVICES WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID FOR THE RELEVANT PREORDER-RELATED SERVICE DURING THE PRIOR TWELVE (12) MONTHS; OR
  • US $1,000.00.

12.3 Non-Excludable Liability

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, INCLUDING CERTAIN LIABILITY FOR PERSONAL INJURY, DEATH, FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER MANDATORY STATUTORY RIGHTS.

13. Governing Law and Venue

13.1 Governing Law

Subject to mandatory local consumer protections and the annex provisions below, this Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules.

13.2 Venue

For disputes that are not subject to arbitration, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, unless mandatory local law requires otherwise.

14. Dispute Resolution and Arbitration

14.1 Individual Arbitration

EXCEPT FOR LIMITED EXCEPTIONS BELOW, DISPUTES ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PREORDER PROCESS, THE SERVICES, OR THE PRODUCTS MUST BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA).

14.2 Limited Court Exceptions

  • an eligible small-claims action that remains within that court’s jurisdiction; or
  • a request for injunctive relief to stop unauthorized use, abuse of services, or intellectual property infringement.

14.3 Class Action Waiver

Disputes must be brought only on an individual basis. Neither side may proceed as a class representative, class member, or participant in a representative or consolidated action unless applicable law requires otherwise.

14.4 Procedures

  • Rules: AAA consumer rules or other applicable AAA rules then in effect.
  • Location: remote proceedings may be used; if in-person attendance is required, the hearing may occur in your county of residence or another lawful venue.
  • Costs: allocation of arbitration costs will follow applicable rules and law.

14.5 Mass Arbitration Management

If a large number of substantially similar claims are filed in a coordinated manner, Black Series may request reasonable staging, batching, mediation, or similar administrative procedures to promote orderly processing, to the extent permitted by law and applicable rules.

14.6 Opt-Out

If you are entitled to opt out of the arbitration provision, or if Black Series elects to provide such right, you may send an email to info@blackseries.net with the subject “Arbitration Opt-Out” within thirty (30) days after submitting your preorder deposit, including your full name, address, email, and sufficient account information to identify the reservation.

15. Miscellaneous

15.1 Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and any preorder-specific supplemental terms, forms the complete agreement relating to your preorder. If a conflict exists regarding preorder-specific cancellation, refund, or allocation rules, this Agreement controls unless mandatory law requires another result.

15.2 Force Majeure

Black Series will not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, pandemics, war, civil unrest, governmental actions, component shortages, cyber incidents, cloud outages, transportation disruption, or changes in law.

15.3 Notices

Notices may be sent by email, through your account, through a website posting, or through another reasonable channel. Legal notices to Black Series may be sent to:

Annex A — Canada

If you are a Canadian consumer, mandatory Canadian law may override conflicting provisions in this Agreement. Without limitation:

  • mandatory consumer remedies under provincial or federal law remain available where they cannot be waived;
  • arbitration and class action waiver language applies only to the extent permitted by Canadian law;
  • privacy and cross-border processing are subject to applicable Canadian privacy requirements.

Annex B — Australia

If you are an Australian consumer, mandatory rights under the Australian Consumer Law continue to apply to the extent they cannot lawfully be excluded or limited.

  • consumer guarantees remain in effect where legally non-excludable;
  • liability limitations apply only to the extent permitted by law;
  • privacy handling should be read alongside the Australian Privacy Act 1988 (Cth) and applicable APP obligations.
