1. Acceptance of Terms #

By accessing or using any of the Services, you agree to be bound by these Terms and any supplementary agreements applicable to particular Services, including without limitation our Privacy Policy, any Preorder Agreement, any purchase-related terms, warranty terms, referral or affiliate program terms, promotional campaign terms, and any policies posted on the Website.

If there is a conflict between these Terms and a supplemental agreement applicable to a specific Service, the supplemental agreement will control with respect to that specific Service.

If you do not agree to these Terms and all applicable supplemental terms, you must not access or use the Services.

2. Accounts #

In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.

You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality and security of your login credentials. You must notify Black Series immediately at info@blackseries.net of any suspected or actual unauthorized use of your account or any other security breach.

Black Series is not liable for losses caused by unauthorized use of your account. However, you may be liable for losses suffered by Black Series or others if the unauthorized use resulted from your negligence or failure to safeguard your account credentials.

3. General Use of the Services - Permissions and Restrictions #

Subject to your strict compliance with these Terms, Black Series grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, lawful, and non-commercial use, unless we expressly authorize a broader use in writing.

• selling access to the Services or any content from the Services on another website or platform;
• using the Services primarily to generate advertising, referral, lead-generation, or subscription revenue without authorization;
• selling advertising or sponsorships tied to Black Series content or user content hosted through the Services; or
• using the Services in a way that Black Series reasonably determines competes with or displaces the market for our Services or Products.

• alter, modify, or interfere with any part of the Services or their underlying technology;
• access content or data through any technology or means other than the interfaces and methods we provide or expressly authorize;
• use robots, spiders, scrapers, crawlers, offline readers, or other automated systems to access the Services improperly;
• attempt to bypass, disable, or interfere with any security or access-control measures used by the Services.

4. Preorders, Configuration, and Delivery #

To place a preorder for certain Products, you may be required to agree to a separate preorder agreement. The Preorder Agreement governs deposits, pricing, estimated delivery, configuration rights, refundability, cancellation, and reservation priority.

By placing a preorder, you understand that you may be reserving a Product that is still in development, limited production, or subject to ongoing design and specification changes.

If we allow you to submit a confirmed product configuration, you may modify that confirmed configuration within seven (7) calendar days after submission, unless a different period is stated in your Preorder Agreement.

Any projected or estimated delivery date displayed on the Website, in your account, in communications, or in marketing materials is an estimate only and is not guaranteed.

Except as expressly stated in this section or required by applicable law, cancellation rights, deposit refundability, order changes, and any applicable charges or penalties are governed exclusively by your Preorder Agreement and any related purchase documentation.

5. Privacy and Data Protection #

Your use of the Services is subject to our separate Privacy Policy.

In the event of a conflict between these Terms and the Privacy Policy with respect to personal information handling, the Privacy Policy will control.

Our privacy practices are intended to account for applicable legal requirements in the United States, Canada, and Australia where applicable.

6. Changes to Terms and Services #

Black Series may modify or replace these Terms at any time in our discretion. If a revision is material, we will make reasonable efforts to provide advance notice.

By continuing to access or use the Services after revised Terms become effective, you agree to be bound by the revised Terms.

Black Series may also modify, suspend, discontinue, improve, or replace any aspect of the Services at any time.

7. Eligibility and Account Security #

You may use the Services only if you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into binding contracts.

If you access or use the Services on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

Your account is for your exclusive use. You may not lend, share, transfer, or sell access credentials.

8. Intellectual Property Rights #

All intellectual property rights in and to the Services and related materials are owned by Black Series or its licensors and are protected by applicable law.

If you provide suggestions, comments, feedback, testimonials, reviews, ideas, submissions, or other materials to Black Series, you grant Black Series a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use them for purposes of operating, marketing, and improving the Services.

If you participate in any referral, affiliate, ambassador, influencer, partner, creator, or similar promotional program, you must ensure that all promotional statements are truthful, lawful, and properly disclosed.

9. Software License #

For purposes of these Terms, "Software" includes any mobile application, embedded firmware, controller interface, user dashboard, built-in operating code, telematics feature, online portal, update service, API, documentation, and related digital feature made available by or on behalf of Black Series.

Subject to your compliance with these Terms, Black Series grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to use the Software solely in connection with authorized use of the Services and Products.

You may not copy, modify, distribute, reverse engineer, decompile, or otherwise misuse the Software except to the extent permitted by applicable law.

10. Additional Prohibited Conduct #

You agree not to tamper with non-public areas of the Services, test vulnerabilities without authorization, transmit malware, or circumvent firmware controls or safety limiters.

You may not impersonate any person or entity, misrepresent your affiliation with Black Series, or submit false or fraudulent information.

You may not upload, post, transmit, or otherwise make available unlawful, infringing, deceptive, harassing, hateful, threatening, obscene, or otherwise objectionable content.

11. Third-Party Links #

The Services may contain links to third-party websites, applications, payment providers, financing partners, logistics providers, or other external resources for convenience. Black Series does not control and is not responsible for third-party content, products, services, policies, or practices.

Unless expressly stated otherwise, a link to a third-party site does not imply endorsement, sponsorship, approval, or affiliation.

12. Termination #

Black Series may suspend or terminate your access to the Services, including your account, if we reasonably determine that you have breached these Terms, engaged in fraudulent or unlawful conduct, or if the Services are discontinued or materially modified.

You may request cancellation of your account by contacting info@blackseries.net.

Terminating your account does not automatically cancel an order, preorder, financing arrangement, service booking, or warranty claim.

13. Disclaimer of Warranties #

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Black Series disclaims all warranties, whether express, implied, statutory, or otherwise.

Warranties relating to Products are governed exclusively by the separate limited warranty, purchase agreement, preorder agreement, or other written warranty document supplied with or applicable to the Product.

14. Indemnification #

You agree to defend, indemnify, and hold harmless Black Series and its affiliates, officers, employees, contractors, agents, successors, and assigns from and against claims, damages, losses, liabilities, judgments, costs, and expenses arising out of or related to your breach of these Terms, your misuse of the Services or Products, your contributions, or your violation of third-party rights.

15. Limitation of Liability #

To the maximum extent permitted by law, Black Series will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

Except where prohibited, the total cumulative liability of Black Series arising out of or relating to these Terms or the Services will not exceed the greater of the amount you paid during the twelve (12) months before the claim arose or one thousand U.S. dollars (US $1,000.00).

16. Governing Law and Venue #

Except as otherwise required by mandatory consumer-protection law, these Terms and your use of the Services are governed by the laws of the State of California, without regard to conflict-of-law principles.

For any dispute that is not subject to binding arbitration, you and Black Series agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, unless applicable law requires otherwise.

17. Dispute Resolution #

Except as expressly provided otherwise, you and Black Series agree that disputes arising out of or relating to these Terms, the Services, or the Products will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA), and not in court.

Either party may bring an individual action in small claims court if eligible, or seek injunctive or equitable relief in court solely to stop unauthorized use of the Services or infringement of intellectual property rights.

If you are a consumer residing in Canada or Australia, the mandatory arbitration provisions and class-action waiver do not apply to the extent prohibited by applicable law.

18. Miscellaneous #

These Terms, together with the Privacy Policy and any applicable supplemental terms, constitute the entire agreement between you and Black Series regarding the Services.

Black Series will not be liable for delay or failure in performance caused by events beyond our reasonable control, including natural disasters, pandemics, supply-chain interruptions, acts of war, terrorism, utility failures, carrier delays, governmental actions, severe weather, or failures of third-party service providers.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

19. Jurisdiction-Specific Terms #

If you are a consumer residing in Canada, the mandatory arbitration and class-action waiver provisions in Section 17 do not apply to the extent prohibited by applicable Canadian law. The disclaimers and limitations in Sections 13 and 15 do not affect any non-waivable statutory rights under applicable Canadian consumer protection laws.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms is intended to modify or exclude rights, guarantees, or remedies provided under applicable Australian law.
